42WebDesign.co.uk will carry out work only where an agreement is provided either by email, telephone, mail or fax. An ‘order’ is deemed to be a written or verbal contract between 42WebDesign.co.uk and the client, this includes telephone and email agreements.

Website Design


Whilst every endeavour will be made to ensure that the website and any scripts or programs are free of errors, 42WebDesign.co.uk cannot accept responsibility for any losses incurred due to malfunction, the website or any part of it.

Any scripts, cgi applications, php scripts, or software (unless specifically agreed) written by 42WebDesign.co.uk remain the copyright of 42WebDesign.co.uk and may only be commercially reproduced or resold with the written permission of 42WebDesign.co.uk.

Where applications or sites are developed on servers not recommended by 42WebDesign.co.uk, the client is expected to provide or seek any information,additional software,support or co-operation pertaining to the server required in order for the application to be correctly developed. Where large applications are to be developed, it is the clients responsibility to provide a suitable testing environment which is identical to the final production environment.

The client is expected to test fully any application or programming relating to a site developed by 42WebDesign.co.uk before being made generally available for use. Where “bugs”, errors or other issues are found after the site is live, 42WebDesign.co.uk will endeavour (but is not obliged to) to correct these issues to meet the standards of function outlined in the brief


42WebDesign.co.uk will produce and publish a temporary website for The Client’s approval. The design proof will temporarily be hosted on our [42WebDesign.co.uk] website. While this temporary website is online the copyright and use of the website will be limited to 42WebDesign.co.uk. Use of this temporary website in any respect without the permission of 42WebDesign.co.uk will constitute breach of copyright.

The website, graphics and any programming code remain the property of 42WebDesign.co.uk until all outstanding accounts are paid in full.


Modifications to the design specification will be considered an amendment to the contract. All modifications to the website will be require a re-quote and written confirmation and will be carried out at the discretion of 42WebDesign.co.uk. Where no charge is made by 42WebDesign.co.uk for such additions, 42WebDesign.co.uk accept no responsibility to ensure such additions are error free and reserve the right to charge an according amount for any correction to these or further additions.


The client agrees to make available as soon as is reasonably possible to 42WebDesign.co.uk all materials required to complete the site to the agreed standard and within the set deadline.

42WebDesign.co.uk will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.


42WebDesign.co.uk will endeavour to ensure that any developed/designed site or application will be coded to XHTML & CSS standards as defined by the W3C, and will function correctly on the server it is initially installed in. As some internet browsers do not conform to the W3C standards, 42WebDesign.co.uk can offer no guarantees of correct function with all browser software.

Website Content

Unless prior agreed, the Client will provide the images and the text for the website’s content. If the client provides any images which are not original then it is presumed that the client has received permission from the copyright owners to use the image on the website.

Client supplied logo’s, literature, artwork and photo’s will remain the copyright of the client. The website will remain the copyright of 42WebDesign.co.uk until the final outstanding invoice has been paid.

42WebDesign.co.uk cannot take responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.

42WebDesign.co.uk will not be liable or become involved in any disputes between the site owner and their clients and cannot be held responsible for any wrongdoing on the part of a site owner. eg. Any copyright disputes regarding website content or contextual images that have been provided to us for inclusion on the site.

Website Hosting

Website hosting is provided by a reliable third party through 42WebDesign.co.uk. The hosting access is provided on an ‘as-is, as-available’ basis. The client acknowledges that the need for routine maintenance and error correction may result in down time and that 42WebDesign.co.uk cannot control the timing or volume of attempts to access the client’s server.

If hosting is not required, 42WebDesign.co.uk will release full website code and graphics when payment of the final invoice for the outstanding quotation value is received in full.

Unless otherwise stated, the customer is responsible for keeping regular website backups, via their control panel or FTP. Should you require an emergency backup of your database this can be arranged for a one off charge of £65.

Domain Names

Domian names will be provided by a reliable third party. This can be through 42WebDesign.co.uk or registered in the client’s name. Registration of domain names is for two years unless otherwise agreed. Although we will do our best to renew the registration for you, it is ultimately your responsibility to make sure this happens so please keep a note of the date.

Monthly Updates

Monthly website updates are available at a negotiated cost. These website updates are described as Small HTML changes. Small HTML changes consist of any alterations to text, for example a change of contact email address or telephone number. Any changes to the websites appearance or structure are not covered and will require a surcharge. Updates are allowed on a monthly basis.

Payment of Completed Work

A deposit is required from any new client before any work is carried out. A deposit of 20% is required with any standard web project and 50% for database driven projects before any design work will be carried out.

Once a deposit is paid and work completed you are obliged to pay the balance of payment in full, no later than 30 days from the date of the invoice unless by prior arrangement with 42WebDesign.co.uk. We will contact clients via email and telephone to remind them of such payments if they are not received when due.

Once full payment is received for a website, it is assumed that the project has been completed to the clients satisfaction and no refunds can be offered. We do offer free text updates for a month after completion to allow for any final amendments that may be required.
